These Advertising & Services Terms (“Terms”) govern all advertising, sponsorship, research, and lead generation services (“Services”) provided by Expert Insights Tech Ltd (“Expert Insights”, “we”, “us”, “our”) to the customer (“Customer”, “you”, “your”).
These Terms apply to all Services purchased via an Order Form or Insertion Order (“IO”). Together, the IO and these Terms constitute the “Agreement”. In the event of any conflict between the IO and these Terms, the IO shall prevail.
1. Scope of Services
Expert Insights operates a cybersecurity media and research platform. Services offered to Customers may include:
- Sponsored Content Placements: Featured vendor listings within buyers’ guides, comparison articles, and editorial content published on expertinsights.com.
- Commissioned Product Analysis: Standalone in-depth product reviews and analysis commissioned by the Customer, conducted by the Expert Insights analyst team using the same methodology, scoring criteria, and editorial standards applied to all Expert Insights content. Commissioned analysis is published as a standalone article and is distinct from Expert Insights’ independent buyers’ guides, Top 10 shortlists, and verdict site reviews, which are produced at Expert Insights’ own initiative and expense without commercial engagement.
- Newsletter and Email Sponsorships: Sponsored placements within Expert Insights newsletters, including Cyber Weekly, Cyber Daily, and other email publications.
- Dedicated Email Campaigns: Standalone promotional emails sent to Expert Insights subscriber segments on behalf of the Customer.
- Marketing Qualified Lead (MQL) Campaigns: Lead generation campaigns where users download a gated research asset or complete a form, and their details are shared with the Customer.
- Sponsored Content and Written Q&A: Vendor-sponsored editorial content, written interviews, or question-and-answer features produced in collaboration with the Customer.
- Podcast and Interview Features: Audio or video interview content featuring Customer representatives, published through Expert Insights media channels.
- Market Intelligence and Intent Data: Engagement insights derived from Expert Insights content interactions, including: (a) aggregated company-level interest data identifying which organisations are researching specific product categories, generated from anonymous browsing activity using IP-to-company enrichment tools; and (b) where available and subject to applicable privacy consents, individual-level Usage Data showing registered users’ content engagement, which may be shared with Customer for their sales and marketing purposes. The scope and type of data included in each engagement is defined in the applicable IO.
- Report Syndication and Content Distribution: Distribution of research reports, whitepapers, or other content assets through Expert Insights channels.
The specific Services, deliverables, pricing, and schedule for each engagement are defined in the applicable IO.
2. Editorial Independence
Customer acknowledges and agrees that Expert Insights maintains full editorial independence over all published content. Advertising does not influence product scores, editorial analysis, review conclusions, or awards decisions. Expert Insights retains sole discretion over editorial structure, product inclusion criteria, scoring methodology, and published recommendations.
All sponsored placements are clearly disclosed in accordance with applicable advertising regulations.
3. Vendor Eligibility and Standards
All prospective Customers are subject to editorial and quality review. Expert Insights may accept or decline any advertising engagement at its sole discretion. We maintain high standards for advertisers and will not accept partnerships with vendors whose products do not meet the quality, security, and credibility standards expected by our readership.
A commercial engagement does not guarantee inclusion in any editorial content, buyers’ guide, or comparison article unless explicitly stated in the IO.
4. Vendor Input and Approval
Where applicable, Customer may review content for factual accuracy and request reasonable corrections. Expert Insights retains final editorial control over all published content. If Customer does not respond to a review request within 3 business days, the content shall be deemed approved.
5. Performance and Delivery
5.1 Guaranteed Deliverables
Where the IO specifies guaranteed deliverables (such as a specific number of impressions, leads, or downloads), Expert Insights will use commercially reasonable efforts to deliver those quantities within the agreed timeframe.
5.2 No Performance Guarantees
Except as expressly stated in the IO, Expert Insights does not guarantee traffic levels, search engine rankings, lead quality, conversion rates, revenue, or any other commercial outcome. Customer acknowledges that Expert Insights provides access to potential buyers but does not guarantee commercial results.
5.3 Lead Definition
Where MQL campaigns are included, a “lead” means a completed form submission meeting the criteria specified in the IO. Expert Insights is not responsible for lead qualification beyond the agreed criteria, nor for Customer’s sales outcomes, follow-up, or conversion.
6. Data and Compliance
6.1 Data Handling
In most cases, user data is submitted directly to Customer via click-throughs to Customer’s own website. In hosted campaigns (such as gated asset downloads), Expert Insights may collect user data and share it with Customer as disclosed to the user at the point of collection.
6.2 Intent Data
Expert Insights generates two types of engagement data that may be made available to Customers as part of the Services:
(a) Company-level insights: aggregated data identifying which organisations are engaging with specific cybersecurity topics and product categories on Expert Insights, generated from anonymous browsing activity using IP-to-company enrichment tools. This data does not identify individuals and is derived from legitimate interests processing under UK GDPR.
(b) Registered user Usage Data: individual-level engagement data for users who have created an account or registered with Expert Insights, including articles viewed, emails opened, links clicked, and product categories researched, together with their registration information (name, email, company, job title). This data is collected and shared with consent from the registered user. Expert Insights may use automated means, including third-party data enrichment services and machine learning, to infer additional information such as professional interests and purchasing stage.
The scope and type of data included in each engagement is defined in the applicable IO. Individual-level registered user data is not guaranteed unless explicitly specified in the IO. Customer acknowledges that the sharing of registered user data with Customer may constitute a “sale” or “sharing” of personal information under the California Consumer Privacy Act (CCPA/CPRA), and that Expert Insights provides registered users with the ability to opt out of this sharing.
6.3 Compliance Obligations
Customer agrees to comply with all applicable data protection and privacy laws, including UK GDPR, EU GDPR, and US privacy legislation (including CCPA/CPRA where applicable). Customer is solely responsible for its use of any data provided under the Agreement and must handle all personal data in accordance with applicable law.
7. Customer Warranties
Customer represents and warrants that:
- All materials, content, and information provided to Expert Insights are accurate, lawful, and not misleading
- Customer has all necessary rights and licences to use and distribute the content provided
- Customer’s products and services comply with all applicable laws and regulations
- All landing pages and destinations linked from Expert Insights comply with applicable privacy and marketing laws
- Customer’s materials do not infringe any third-party intellectual property rights
8. Fees, Billing, and Payment
8.1 Fees
Fees for all Services are defined in the IO. All fees are exclusive of applicable taxes, including VAT, sales tax, or similar levies.
8.2 Billing Currency
The default billing currency is USD, payable to a US-based bank account. Expert Insights may offer billing in GBP (£) or EUR (€) where agreed, with pricing reflecting applicable exchange rates and transaction costs. Details will be specified in the IO.
8.3 Payment Terms
Unless otherwise stated in the IO, invoices are issued monthly in advance and are payable within 30 days of the invoice date. All fees are to be paid by bank transfer.
8.4 Late Payment
If payment is not received by the due date, Expert Insights may:
- Suspend or remove all Services immediately
- Withhold leads, campaign data, or other deliverables
- Charge statutory interest under the UK Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate
- Recover reasonable administrative and collection costs
Customer remains liable for all fees during the contract term. Suspension of Services due to non-payment does not pause payment obligations.
9. Term, Renewal, and Termination
9.1 Term
The term for each engagement is specified in the IO. Where the IO does not specify a term, the default term is 12 months from the start date.
9.2 Renewal
Unless otherwise stated in the IO, the Agreement will automatically renew for successive periods of the same length as the initial term, unless either party provides written notice of non-renewal at least 30 days prior to the end of the current term.
9.3 Fixed-Quantity Campaigns
Campaigns with fixed quantities (such as a defined number of newsletter insertions, email sends, or lead deliveries) end upon delivery of the agreed quantity or at the end of the agreed timeframe, whichever comes first, unless otherwise specified in the IO.
9.4 Early Termination
Unless otherwise stated in the IO, the Agreement cannot be terminated early for convenience. All fees for the full term remain payable regardless of whether the Customer continues to use the Services.
9.5 Termination for Cause
Either party may terminate the Agreement immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within 14 days of written notice. Expert Insights may also suspend or terminate immediately if Customer’s activity creates legal, regulatory, or reputational risk to Expert Insights.
10. No Refunds
All fees are non-refundable once Services commence. No refunds will be issued for early termination, unused Services, or partial delivery periods.
11. Indemnification
11.1 Customer Indemnity
Customer shall defend, indemnify, and hold harmless Expert Insights and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from Customer’s products, services, or claims; misleading or unlawful content provided by Customer; breach of applicable laws; misuse of leads or data; or violation of third-party rights.
11.2 Expert Insights Indemnity
Expert Insights shall indemnify Customer for claims that the Expert Insights platform directly infringes third-party intellectual property rights, provided Customer notifies Expert Insights promptly in writing and allows Expert Insights to control the defence.
12. Intellectual Property
Customer retains ownership of its materials, trademarks, and content. Expert Insights retains ownership of all editorial content, rankings, scoring methodologies, platform design, and related intellectual property.
Customer grants Expert Insights a worldwide, royalty-free licence to use Customer’s materials (including trademarks and logos) for the purpose of delivering the Services and promoting the engagement during and after the term.
Commissioned Content Licence
Where the IO includes Commissioned Product Analysis, Sponsored Content and Written Q&A, Podcast and Interview Features, or Report Syndication and Content Distribution, Expert Insights grants Customer a limited, non-exclusive, non-transferable licence to use the content produced under that IO for the duration of the IO term (default twelve months, or as otherwise stated in the IO). This licence permits Customer to: (a) link to and promote the content as published on Expert Insights’ website; (b) share the content on social media and in digital communications by linking to the original publication; and (c) quote brief excerpts (no more than two sentences) in marketing materials, press releases, and sales collateral, provided that all use includes the attribution “Source: Expert Insights (expertinsights.com)” and, where the format supports it, a hyperlink to the original content.
Distribution of commissioned content in PDF format (including packaging reviews or reports into PDFs for Customer’s own distribution) is not included in the standard commissioned content licence and is available only where explicitly specified in the IO as an additional service.
Customer may permit its authorised agents (including PR agencies and marketing partners) to exercise the rights granted under this licence on Customer’s behalf, but Customer may not sublicense, assign, or transfer the licence to any unrelated third party.
Content Integrity
Customer must not alter, edit, abridge, or misrepresent the content produced by Expert Insights. Excerpts must be quoted accurately and must not be taken out of context in a manner that changes or misrepresents their meaning. If Expert Insights materially updates or withdraws content during the IO term (for example, where a product has changed significantly and the published content no longer reflects its current capabilities), Expert Insights will notify Customer in writing and Customer must update or cease use of the affected content within thirty (30) days of such notice.
Content Lifecycle and Expiry
Commissioned Product Analysis: Expert Insights manages all published content at its sole editorial discretion. Upon expiry of the IO term, Expert Insights may, at its discretion, continue to host, update, annotate, or archive the commissioned analysis based on its ongoing editorial relevance and accuracy. Where a product undergoes a material change that renders the published analysis inaccurate or potentially misleading to readers, Expert Insights may update the content, add an editorial note, or remove it from the website. Customer’s licence to promote, excerpt, and distribute the content (including any PDF versions) expires with the IO term. If Customer wishes to continue promoting the analysis or requires an updated review to reflect product developments, a new IO must be agreed.
Podcast and Interview Features: Expert Insights may continue to host podcast and interview content on its website beyond the IO term at its sole editorial discretion. Customer’s licence to link to and promote the content expires with the IO term unless otherwise agreed in writing.
Awards: Where Expert Insights has granted Customer an award (for example, “Best Email Security Gateway 2025”), Customer may continue to reference the award indefinitely, provided that the year of the award is clearly and prominently displayed in all uses. Attribution must follow the format: “Winner — Expert Insights [Category] Award [Year]”.
Attribution
All use of Expert Insights content under this Section 12 must include clear attribution. The required attribution formats are: for reviews and sponsored content, “Source: Expert Insights (expertinsights.com)”; for excerpts and quotes, “Source: Expert Insights” with a hyperlink to the original article where the format supports it; for awards, “Winner — Expert Insights [Category] Award [Year]”; and for podcasts and interviews, “Originally published by Expert Insights” with a link to the episode page. Customer must not present Expert Insights content in a manner that implies endorsement of Customer’s products or services beyond the scope of the published content.
Independent Editorial Content
Expert Insights’ independent editorial content — including buyers’ guides, rankings, comparative analysis, and any editorial content not commissioned by Customer under an IO — may not be reproduced, quoted, or referenced in Customer’s marketing materials, press releases, social media, sales collateral, or any other external communications without a separate written content licence agreement. Licensing enquiries should be directed to [email protected]. Unauthorised use of Expert Insights’ editorial content constitutes a breach of these Terms and may result in legal action. This provision is consistent with and supplementary to Section 5 (Intellectual Property and Content Licensing) of the Expert Insights Terms of Use published at expertinsights.com/terms-of-service.
13. Limitation of Liability
To the maximum extent permitted by law, Expert Insights shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity.
Expert Insights’ total aggregate liability under the Agreement shall not exceed the total fees paid by Customer in the 12 months preceding the claim.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
14. Disclaimer of Warranties
Services are provided “as is” and “as available.” To the fullest extent permitted by law, Expert Insights disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Force Majeure
Expert Insights shall not be liable for delays or failures in performance caused by events beyond reasonable control, including system outages, internet disruptions, acts of God, government actions, pandemics, third-party service failures, or regulatory changes.
16. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with the Agreement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
17. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England & Wales. All disputes shall be subject to the exclusive jurisdiction of the courts of England & Wales.
18. Entire Agreement
The Agreement (comprising the IO and these Terms) constitutes the entire agreement between the parties regarding the Services and supersedes all prior agreements and understandings. In the event of any conflict between the IO and these Terms, the IO shall prevail.
